The Challenge
Reviewing commercial agreements requires teams to identify important clauses, compare terms against preferred negotiating positions, and decide which issues need attention. Repeating this process across numerous documents can be time-consuming and difficult to standardize.
The organization wanted to explore whether artificial intelligence could assist with first-pass contract assessment, highlight potentially unfavorable language, and prepare suggested changes—without removing the legal reviewer from the decision-making process.
What BDP Did
Boston Data Pro developed an intelligent contract review proof of concept, referred to internally as AIRA, to explore a more structured workflow for reviewing commercial agreements. The solution combined AI-assisted contract analysis with a reviewer interface designed to prioritize findings and support informed decisions.
The proof of concept addressed the following capabilities and workflow:
- Contract understanding: Analyze contract text and identify important legal and commercial provisions.
- Clause and risk review: Organize findings by relevant clause categories and risk priority, supported by reviewer-facing explanations.
- Suggested revisions: Present proposed replacement language for flagged provisions in a redline-style workflow.
- Reviewer decision: Give authorized reviewers the ability to accept, edit, or reject suggestions and manage their review progress.
BDP also prepared an Azure-based reference architecture covering document processing, AI-assisted assessment, retrieval of negotiating standards, workflow orchestration, and security and audit considerations. The architecture was designed to support enterprise governance requirements as the solution evolved.
Proof-of-Concept Outcomes
- Established a tangible AI-assisted contract review workflow for evaluation.
- Demonstrated how prioritized findings could help reviewers focus on clauses that need attention.
- Defined a human-in-the-loop decision experience for proposed contract changes.
- Identified usability enhancements for presenting redlines, review progress, and supporting reference information.
- Created a foundation for evaluating future integration, security, and production-readiness requirements.
Engagement status: Proof of concept. The Azure deployment architecture and certain reviewer-experience refinements were proposed or under evaluation; this case study does not represent a confirmed production rollout or claim measured time savings.
For BDP, the engagement illustrates how practical AI can be applied to a real business process, with the technology assisting professionals while keeping judgment and approval in human hands.
